CONSTITUTION OF HARBEL FIRESTONE ASSOCIATION IN THE U.S.A
ARTICLE I: Name
The name of this organization shall be The Harbel Firestone Association In the U.S.A and hereafter referred to in this constitution as the “Association”
ARTICLE II: Jurisdiction
The Association is organized as a support system for the benefit of its members living in the U.S.A. The Association is non-political and non-profit.
ARTICLE III: Membership and Dues
Membership of this association is open to Liberians born in Firestone, worked in Firestone, lived in Firestone, and attended school in Firestone. Membership is also extended to their spouses and children. A member in the U.S.A. who relocates to Liberia can retain his or her membership.
A $10.00 monthly due shall be paid per individual at the beginning or end of each month. Annual membership due is $120.00.
ARTICLE IV: Rights of Members
Only members in good standing can vote and hold offices. A member in good standing is a member whose dues are current and has attended 50% of the meetings held yearly.
ARTICLE V: The Body
The Body shall:
A) Approve all major activities of the Association
B) Elect all officers and committee members
C) Impeach any officer and remove any member of any committee
D) Approve all laws, rules and regulations which govern the Association
E) Amend the constitution
ARTICLE VI: Activities
1. The activities of the Association shall be for the purpose of promoting goodwill among its members.
2. Keeping members united.
3. Maintaining harmony among its members.
4. Giving counsel and guidance to members.
5. Networking among the members.
6. Assisting members in times of need.
7. Acting as a support system for the members.
ARTICLE VII: Finance
The activities of the Association shall be primarily financed by membership dues. Other aspects of finance will include:
A) Organizing fundraising events
B) Solicitation of charitable donations
C) Publications or newsletters
D) Organizing culture events/fashion shows
E) Organizing other social events.
ARTICLE VIII: The Officers and Term of Office
The officers of the Association shall be:
a. President
b. Vice President
c. Secretary
d. Financial Secretary
e. Treasurer
They shall be elected on a single ticket or independently, and they shall serve a three-year term.
SECTION 1: Duties of the President
The President shall be head, principal spokesperson and chief executive officer of the Association. The President shall be responsible for the overall operation of the Association and the conduct of its business. The President’s other duties are:
A) Preside over all meetings of the Association at which he or she is present
B) Call emergency meetings of the Body.
C) Prepare the annual program of activities for the Association, budget and submit to the Body for approval.
D) Approve all vouchers for funds and countersign all checks drawn on the account of the Association.
E) Appoint all non-elective committees and is a member ex-officio of same.
F) Perform all other functions ceremonial or substantive that are consistent with his position and not in conflict with other provisions of the constitution.
SECTION 2: Duties of the Vice President
The Vice President shall be the principal assistant to the President in matters of overall leadership. He or she shall perform the duties of the President whenever the latter is unable. The Vice President shall succeed to the presidency to finish the unexpired term of the President upon the latter resignation, impeachment or death.
SECTION 3: Duties of the Secretary
The Secretary shall record and keep all minutes of the meetings of the Body and shall make them available at all meetings. The Secretary is also responsible to:
A) Maintain a roster of the Association members.
B) Advise the Body of the eligibility of any candidate for office.
C) Advise the Body of the eligibility of any candidate to vote.
SECTION 4: Duties of the Financial Secretary
The financial Secretary shall work closely with the treasurer to ensure transparency and balance the book as well as ensuring that the financial statement agrees with the Association’s records. The Financial Secretary shall:
A) Advise the Body of the members in good standing
B) Maintain all records of financial transactions coming in and out of the Association’s account(s).
C) Make monthly financial reports as to the overall cash position of the Association at the general meetings
D) Keep accurate records of how money is spent within the approved Associations budget
SECTION 5: Duties of the Treasurer
The Treasurer shall be responsible for the collection of all monetary contributions, dues, and other receipts, and make prompt deposit into the Association’s bank account. The Treasurer shall work closely with the Financial Secretary to ensure transparency and maintain records of the sources and uses of funds. He/she shall countersign all withdrawals of funds. The Treasurer shall:
A) Be chiefly responsible for the monthly preparation of the financial report.
B) Approve and countersign all vouchers that are within appropriations.
C) Advise on how the Association shall invest its funds and supervise such investments.
D) Prepare all tax statements
ARTICLE IX: Monitoring Committee
This shall be a five-member committee. Members hereof shall be appointed and confirmed by the body.
Members of this committee shall serve for a four-year term.
SECTION I: Duties of the Monitoring Committee
The duties of this committee are to ensure the continuous and smooth operation of the Association. It is therefore empowered to do the following:
1. Investigate any elected or appointed officer of the Association and report findings to the Body.
2. Conduct hearings on conflicts between members and report to the Body.
3. Investigate the activities of any member if said activities jeopardize the smooth operations of the Association or its existence.
This committee is not empowered to remove any officer from office or to punish any member of the Association; but may recommend punitive measures to the body for action.
ARTICLE X: ELECTION
The General Election for all Officers and member of the Monitoring Committee shall be held at the General Meeting in July, upon the expiration of their term of office. The President shall appoint an Elections Commission to conduct the election.
ARTICLE XI: Removal of Officers
An elected officer or member of any elected committee shall be removed from office for incompetence, negligence of duties, malfeasance, nonfeasance or other forms of conduct unworthy of the office, after a majority vote of the Body.
